Terms of Service

By accessing or using the Meridians platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These Terms apply to all users, including customers, trial users, and visitors to our website.

Meridians provides a cloud-based and on-premises property management software platform ("the Platform") that includes modules for property operations, asset management, leasing management, IoT integration, and finance. The specific features available to you depend on your subscription plan or licence agreement.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: • Provide accurate and complete information when creating your account • Notify us immediately of any unauthorised use of your account • Ensure only authorised personnel access your account • Not share login credentials between multiple users (each user requires their own account) We reserve the right to suspend or terminate accounts that violate these terms.

You agree not to use the Platform to: • Violate any applicable law or regulation • Infringe upon the intellectual property rights of others • Transmit harmful, offensive, or unlawful content • Attempt to gain unauthorised access to our systems or other users' data • Interfere with the proper functioning of the Platform • Use automated means to scrape, crawl, or extract data without our written permission • Resell, sublicence, or transfer your access rights to third parties without our consent

The Platform and all associated intellectual property, including software, designs, logos, documentation, and proprietary processes, remain the exclusive property of Meridians Property Technologies or its licensors. For customers who have purchased a source code licence, the terms of use of that source code are governed by the separate Source Code Licence Agreement executed at the time of purchase.

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your operational data entered into the Platform. You grant us a limited licence to process that data for the sole purpose of providing the services to you. You are responsible for ensuring that your use of the Platform, and the data you enter, complies with all applicable data protection laws.

We aim to provide the Platform with 99.9% uptime as measured on a monthly basis. Planned maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

To the maximum extent permitted by applicable law, Meridians shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Platform. Our total aggregate liability to you for all claims arising out of or relating to these Terms shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform. Your continued use of the Platform after such notification constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise agreed in a separate enterprise agreement.
